1. Introduction

This Service Agreement (“Agreement”) governs the use of the ERP software Mera Karobaar (“Software”) provided by A Q Software.
By creating an account or using the software, the customer (“Client”/“User”) agrees to all terms mentioned below.

2. Services Provided

• Mera Karobaar is a cloud-based ERP system for business management.

• It includes modules such as sales, purchase, inventory, invoicing, products, customers, suppliers, and reports.

• We provide access through the web using a secure login.

3. Data Ownership

• All business data entered by the client remains the property of the client.

• The client may request data export (Excel/CSV/Backup) subject to company policy.

4. Data Loss Disclaimer

The company is NOT responsible for any kind of data loss under any circumstances, including but not limited to:

• Server failure

• Hardware damage

• Hacking, cyberattacks, viruses

• Human error by user

• Internet failure

• Force majeure events (fire, flood, disaster, war, etc.)

We take reasonable measures for data protection like backups, security tools, and encryption, but 100% data protection cannot be guaranteed.

5. System Downtime

• The company may temporarily shut down the server for maintenance or upgrades.

• The company is not liable if the system is unavailable due to internet issues, hosting problems, or third-party failures.

6. Payment Terms

• Subscription charges must be paid on time.

• Late or unpaid invoices may result in temporary suspension or permanent deletion of account & data.

• Refunds are not guaranteed after activation.

7. User Responsibility

The client is responsible for:

• Entering correct data

• Keeping login credentials safe

• Ensuring only authorized users access the system

• Internet connection and device security

• Complying with local laws and tax regulations

8. Software Limitations

• The company does not guarantee 100% error-free software.

• Features may change or update without prior notice.

• Customization requests may be chargeable.

9. Support & Training

• Basic support is provided (online/WhatsApp/email).

• Additional training or on-site support is chargeable.

---

10. Data Backup Policy

• Backups are taken periodically depending on the hosting plan.

• Client may request paid backups or download reports anytime.

• In case of data corruption or deletion, recovery is attempted but not guaranteed.

11. Security

• We use reasonable security measures (SSL, encryption, authentication).

• Company is not responsible for password sharing, misuse, hacking due to weak passwords, or unauthorized access from the client side.

12. Account Termination

• The company reserves the right to block or delete the account for:

  • Non-payment

  • Suspicious activities

  • Abusive behavior

  • Violation of terms

• Upon termination, data may be deleted permanently.

13. Liability Limitation

To the maximum extent permitted by law, the company is not liable for:

• Financial damages

• Loss of profit

• Business interruption

• Tax penalties due to software mis-use

14. Privacy

• Client data will not be shared or sold to third parties.

• Data may only be disclosed if required by law / government authority.

15. Changes to Agreement

• The company may update or modify these terms anytime.

• Continued use of the software means the client accepts new terms.

16. Governing Law

• This agreement is governed by the laws of Pakistan.

• Any dispute will be handled by local courts/jurisdiction.

17. Acceptance

By using Mera Karobaar, the client confirms:
✅ They have read this agreement
✅ They agree to all terms and conditions

1. تعارف

یہ ’’سروس ایگریمنٹ‘‘ یا ’’شرائط و ضوابط‘‘ میرا کاروبار ERP سافٹ ویئر کے استعمال کو ریگولیٹ کرتا ہے۔
اکاؤنٹ بنانے یا سافٹ ویئر استعمال کرنے کا مطلب ہے کہ صارف/کلائنٹ ان تمام شرائط کو قبول کرتا ہے۔

2. فراہم کردہ سروسز

• میرا کاروبار ایک آن لائن ERP سسٹم ہے

• اس میں سیلز، پرچیز، اسٹاک، انوائسنگ، پروڈکٹس، کسٹمرز، سپلائرز، اکاؤنٹس اور رپورٹس کے فیچرز شامل ہیں

• صارف کو ویب لاگ اِن کے ذریعے سسٹم تک رسائی دی جاتی ہے

3. ڈیٹا کی ملکیت

• سسٹم میں داخل کیا گیا تمام کاروباری ڈیٹا صارف کی ملکیت ہے

• صارف اپنی درخواست پر ڈیٹا ایکسپورٹ (Excel/CSV/Backup) حاصل کرسکتا ہے، کمپنی پالیسی کے مطابق

4. ڈیٹا لوس (Data Loss) کے متعلق وضاحت

کمپنی کسی بھی قسم کے ڈیٹا لوس کی ذمہ دار نہیں ہو گی، چاہے وجہ کچھ بھی ہو:

• سرور یا ہارڈویئر خرابی

• وائرس، ہیکنگ، سائبر حملہ

• بجلی یا انٹرنیٹ کی خرابی

• انسانی غلطی

• سسٹم کی غلط استعمال

• قدرتی آفات جیسے آگ، سیلاب، زلزلہ، جنگ وغیرہ

کمپنی ڈیٹا محفوظ رکھنے کی مناسب کوشش کرتی ہے، لیکن 100% گارنٹی نہیں دی جا سکتی۔

5. سسٹم ڈاؤن ٹائم

• سرور یا سسٹم کی مینٹیننس کے لئے عارضی بندش ہوسکتی ہے

• انٹرنیٹ، ہوسٹنگ یا تیسری پارٹی کی وجہ سے سسٹم بند ہو جانے پر کمپنی ذمہ دار نہیں ہوگی

6. ادائیگی کے اصول

• سروس چارجز وقت پر ادا کرنا لازمی ہے

• دیر سے ادائیگی یا عدم ادائیگی کی صورت میں اکاؤنٹ بند یا ڈیٹا ڈیلیٹ کیا جا سکتا ہے

• ایک بار ادا کی گئی فیس کی واپسی لازمی نہیں

7. صارف کی ذمہ داریاں

صارف اس بات کا پابند ہے کہ:

• سسٹم میں درست ڈیٹا داخل کرے

• پاس ورڈ اور لاگ اِن معلومات محفوظ رکھے

• صرف مجاز افراد کو رسائی دے

• انٹرنیٹ اور ڈیوائس کی سکیورٹی خود یقینی بنائے

• ملک کے قوانین، ٹیکس اور حکومتی اصولوں کی پابندی کرے

8. سافٹ ویئر کی حدود

• سافٹ ویئر 100% ایرر فری ہونے کی گارنٹی نہیں

• فیچرز بغیر پیشگی اطلاع کے اپ ڈیٹ یا تبدیل ہوسکتے ہیں

• اضافی تبدیلیاں یا کسٹمائزیشن چارجز کے ساتھ ہوگی

9. سپورٹ اور ٹریننگ

• سسٹم کی بنیادی سپورٹ آن لائن/واٹس ایپ/ای میل کے ذریعے دی جائے گی

• اضافی ٹریننگ یا آن سائٹ وزٹ چارجز کے ساتھ ہوگا

10. ڈیٹا بیک اپ

• ہوسٹنگ پلان کے مطابق بیک اپ لیا جاتا ہے

• صارف ڈیٹا ایکسپورٹ یا بیک اپ کی درخواست کرسکتا ہے (کچھ صورتوں میں چارجز لاگو ہوسکتے ہیں)

• ڈیٹا خراب ہونے یا مٹنے کی صورت میں ریکوری کی کوشش کی جائے گی، مگر گارنٹی نہیں

11. سیکیورٹی

• SSL، انکرپشن اور دیگر سیکیورٹی اقدامات کیے جاتے ہیں

• اگر پاس ورڈ شیئر کرنے یا کمزور سیکیورٹی کی وجہ سے ڈیٹا لیک ہو جائے تو کمپنی ذمہ دار نہیں ہوگی

12. اکاؤنٹ ختم کرنے کے اصول

کمپنی کسی بھی وقت اکاؤنٹ بند یا ختم کر سکتی ہے:

• اگر ادائیگی نہ کی جائے

• مشکوک یا غیر قانونی سرگرمی

• غلط استعمال

• شرائط کی خلاف ورزی

اکاؤنٹ بند ہونے کے بعد ڈیٹا مستقل طور پر مٹایا جا سکتا ہے۔

13. قانونی ذمہ داری کی حد

کمپنی کسی مالی نقصان، کاروباری نقصان، ٹیکس جرمانے یا منافع میں کمی کی ذمہ دار نہیں ہوگی۔

14. پرائیویسی

• صارف کا ڈیٹا نہ بیچا جائے گا نہ شیئر کیا جائے گا

• صرف قانونی تقاضوں یا حکومتی احکامات پر معلومات فراہم کی جا سکتی ہے

15. شرائط میں تبدیلی

کمپنی ان شرائط کو کسی بھی وقت تبدیل یا اپ ڈیٹ کر سکتی ہے
سافٹ ویئر کا مسلسل استعمال نئی شرائط کی قبولیت تصور ہوگا

16. قانون اور دائرہ اختیار

یہ معاہدہ پاکستان کے قوانین کے تحت ہوگا
کسی بھی تنازع کی صورت میں متعلقہ عدالت کے دائرہ اختیار کو قبول کیا جائے گا

17. قبولیت

میرا کاروبار ERP استعمال کرنے کا مطلب ہے کہ صارف:

✅ اس معاہدے کو پڑھ چکا ہے
✅ تمام شرائط قبول کرتا ہے
✅ تمام ذمہ داریوں کا پابند ہے
